Chapter 12 - NEXOCLOUD DIDN’T DIE BECAUSE OF ME

When Vanguard formally withdrew from NexoCloud’s financing, business reporters tried to turn it into a revenge story.

It was a good headline.

It was also wrong.

Vanguard did not withdraw because Jonathan slapped me.

We withdrew because fresh diligence uncovered concealed related-party transactions, historical capital sourced from questionable Miller entities, material omissions in management disclosures, and governance failures serious enough that no responsible investment committee would approve the deal.

I recused myself from the final vote.

That mattered.

The independent committee rejected the investment unanimously.

Without the $120 million, NexoCloud entered restructuring within two months.

Hundreds of employees were frightened they would lose their jobs because of decisions they had nothing to do with.

So Vanguard did something Jonathan never expected.

We bought the viable operating assets out of restructuring through an independently managed transaction.

Jonathan received no control position.

His personal equity was largely wiped out.

The engineering teams kept working.

Most employees kept their jobs.

Customers retained service.

NexoCloud survived.

Jonathan’s fantasy of owning it did not.

That distinction mattered to me.

I did not want innocent people punished because the founder was abusive.

I wanted consequences to land where they belonged.

At the same time, prosecutors charged Florence with offenses connected to Amelia’s death and the subsequent cover-up. The exact homicide theory required careful litigation because fourteen years had passed and the medical evidence was incomplete, but the tape, financial motive, suppressed witness evidence, and concealment actions gave prosecutors a case no one had ever had before.

The retired officer who omitted Grace’s statement was investigated separately.

He eventually admitted Harold Miller paid him to “keep a confused housekeeper from complicating a runaway case.”

The old system started cracking everywhere at once.
